Oracle files to sell $20B in new stock, bonds to finance AI buildout

Oracle has filed with the Securities and Exchange Commission to sell $10 billion of common stock and $10 billion of senior notes, a $20 billion package pre-announced at its investor day to finance its AI buildout. The company says proceeds will go to general corporate purposes, which may include capital expenditures, debt repayment and future investments, and that the $20 billion caps additional capital-market financing for its fiscal 2027 to 2030 investment cycle. Its debt stood at $125.34 billion as of August 31, and shares fell more than 6% on the day of the announcement. It matters because it puts a hard number on how much debt-funded capital Oracle needs for AI infrastructure, and on the market scrutiny that comes with it.
